Agreement to terms
These Terms & Conditions (“Terms”) govern your access to and use of the Town platform and town.club (the “Service”), operated by Town Technologies Inc. By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you are authorized to bind that business.
The Service
Town provides software for restaurants, including a website builder, online ordering, reservations, waitlist, loyalty, catering forms, local-listings management, delivery dispatch through third-party networks, and related tools. Features may change over time.
Accounts & eligibility
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be at least 18 and able to form a binding contract.
Fees & billing
Town is offered as one flat monthly price with 0% commission. Plans are month-to-month with no long-term contract, and you can change or cancel at any time; access continues through the end of the paid period.
Fees are billed in advance and per-order fees as orders occur. You are responsible for applicable taxes. Card processing is handled by your chosen payment processor under their terms; Town does not take a percentage of your card processing. Promotional pricing, where offered, applies to eligible new accounts and may be subject to conditions.
Your content & responsibilities
You retain ownership of the content you provide (menus, prices, images, business information). You grant Town a license to host, display and process that content to operate the Service. You are responsible for the accuracy and legality of your content and for how you use marketing tools (including compliance with email, SMS and consumer-protection laws). You agree not to use the Service for unlawful, infringing or harmful purposes.
Intellectual property
The Service, including its software, design and trademarks, is owned by Town and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active. You may not copy, resell or reverse-engineer the Service except as expressly permitted (for example under a separate partner agreement).
Third-party services
The Service integrates with third parties such as POS systems, payment processors, delivery networks and listings platforms. Those services are governed by their own terms, and Town is not responsible for their acts, omissions or availability.
Termination
You may cancel at any time. We may suspend or terminate access for violation of these Terms, non-payment, or to protect the Service or others. On termination, your right to use the Service ends; certain provisions survive.
Disclaimer of warranties
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Town disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific results, revenue or savings.
Limitation of liability
To the fullest extent permitted by law, Town and its affiliates will not be liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Our total liability for any claim relating to the Service will not exceed the fees you paid to Town in the 12 months before the claim.
Indemnification
You agree to indemnify and hold Town harmless from claims arising out of your content, your use of the Service, or your violation of these Terms or applicable law.
Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Texas, unless otherwise required by law.
Changes to these terms
We may update these Terms from time to time. Continued use of the Service after changes take effect means you accept the updated Terms.
